Welcome to Dagangan. These Terms and Conditions ("Terms") govern your use of our mobile application, website, and services operated by PT. Dagangan Karya Indonesia ("Dagangan", "we", "us", or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.

1. Definitions

"Service" refers to the Dagangan mobile application, website, and related services
"User" refers to any individual or business entity using our Service
"Merchant" refers to retailers, resellers, and businesses purchasing through our platform
"Products" refers to goods available for purchase through our Service
"Order" refers to a purchase request submitted through our Service

2. Eligibility

To use our Service, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Operate a legitimate business (for merchant accounts)
Provide accurate and complete registration information
Comply with all applicable laws and regulations

3. Account Registration

3.1 You must create an account to use our Service. You agree to:

Provide accurate, current, and complete information
Maintain and update your information
Keep your password secure and confidential
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

4. Orders and Transactions

4.1 Placing Orders

All orders are subject to acceptance by Dagangan
We reserve the right to refuse or cancel any order
Product availability and prices are subject to change
Orders are binding once confirmed by Dagangan

4.2 Pricing

All prices are displayed in Indonesian Rupiah (IDR)
Prices exclude delivery fees unless stated otherwise
We reserve the right to modify prices at any time
Confirmed orders will honor the price at time of order

4.3 Payment

Payment must be made as per agreed terms
Available payment methods: bank transfer, e-wallet, COD, credit terms
Late payments may incur additional charges
Credit terms are subject to approval and credit assessment

5. Delivery

5.1 Delivery Terms

Delivery times are estimates and not guaranteed
Delivery fees vary based on location and order size
You must provide accurate delivery information
Failed deliveries due to incorrect information may incur additional fees

5.2 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the specified address.

6. Returns and Refunds

6.1 Return Policy

Products may be returned within 7 days of delivery if:

Products are damaged or defective
Wrong products were delivered
Products are expired or near expiry (within 1 month)
Products do not match the description

6.2 Non-Returnable Items

The following cannot be returned:

Fresh produce (unless damaged upon delivery)
Products with broken seals (except if damaged)
Custom or special orders

6.3 Refund Process

Approved returns will be refunded within 7-14 business days
Refunds will be issued to the original payment method
Delivery fees are non-refundable unless error was on our part

7. Product Information

While we strive for accuracy, we do not warrant that:

Product descriptions are accurate, complete, or error-free
Product images exactly represent the actual product
Products will always be available

8. Intellectual Property

8.1 All content on our Service, including but not limited to text, graphics, logos, images, and software, is the property of Dagangan or its licensors.

8.2 You may not:

Copy, modify, or distribute our content without permission
Use our trademarks or branding without authorization
Reverse engineer or extract source code from our application

9. User Conduct

You agree not to:

Use the Service for any illegal purpose
Violate any laws or regulations
Infringe upon the rights of others
Transmit viruses or malicious code
Interfere with the proper functioning of the Service
Attempt to gain unauthorized access to our systems
Engage in fraudulent activities
Harass or harm other users

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Dagangan shall not be liable for:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, or data
Damages arising from use or inability to use the Service
Damages resulting from third-party products or services

10.2 Our total liability shall not exceed the amount paid by you for the specific order giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Dagangan, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters
War, terrorism, or civil unrest
Government actions or regulations
Pandemic or epidemic
Transportation disruptions

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through:

Email notification
In-app notification
Website announcement

Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Termination

14.1 We may terminate or suspend your account at any time for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment
Any other reason at our discretion

14.2 Upon termination:

Your right to use the Service ceases immediately
Outstanding payments become due immediately
We may delete your account and data

15. Dispute Resolution

15.1 In case of any dispute, you agree to first attempt to resolve the matter through good faith negotiations with Dagangan.

15.2 If negotiations fail, disputes shall be resolved through:

Mediation by an agreed third party, or
Arbitration in accordance with Indonesian arbitration laws, or
Court proceedings in Yogyakarta, Indonesia

16. Governing Law

These Terms are governed by the laws of the Republic of Indonesia. You agree to submit to the exclusive jurisdiction of the courts of Yogyakarta, Indonesia.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Dagangan regarding the use of our Service and supersede all prior agreements and understandings.
